Terms of Service

1. Acceptance of Terms

By accessing or using Ghost Agent ("the Service"), operated by Ghost Agent ("we," "us"), you agree to these Terms of Service. If you don't agree, don't use the Service.

2. Description of Service

Ghost Agent is an AI-powered booking and marketing platform for live performers. The Service includes:

• Booking pipeline management and deal tracking
• AI-powered content generation (images, video, copy)
• Venue discovery and outbound pitch campaigns
• Fan engagement and subscriber management
• Analytics, market insights, and revenue forecasting

3. Accounts

You must sign in with a Google account to use the Service. You are responsible for maintaining the security of your account. You must be at least 18 years old to use the Service.

You may not share your account credentials or allow others to access your account. You are responsible for all activity that occurs under your account.

4. Subscription Plans & Billing

Free Tier

The free tier provides access to core booking pipeline features with limited AI generation quotas. No credit card required.

Paid Plans

Paid plans (Solo, Pro, Agency) are billed monthly through Stripe. Prices are listed on our pricing page.

Trials

New users may receive a trial period for paid features. At trial expiration, you'll be downgraded to the free tier unless you subscribe.

Cancellation

You may cancel your subscription at any time through the Stripe customer portal. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

BYOK (Bring Your Own Key)

Users on any plan may provide their own Google AI API key for unlimited AI generation. Your key is encrypted and used solely for API calls on your behalf. You are responsible for any charges from Google associated with your key usage.

5. Content Ownership

Your Content

You retain full ownership of all content you create, upload, or generate through the Service, including:

• Artist profiles, bios, and booking information
• AI-generated images, videos, and copy
• Campaign content and promotional materials
• Contact lists and fan subscriber data

License to Us

You grant us a limited license to store, process, and display your content solely to provide the Service. This license ends when you delete your content or account.

AI-Generated Content

Content generated through our AI tools (Creator Studio, campaign builder, etc.) is yours. We make no claim to AI-generated content. However, you are responsible for ensuring your use of generated content complies with applicable laws, including copyright and publicity rights.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Generate content that is harmful, abusive, harassing, or violates others' rights
• Attempt to reverse-engineer, scrape, or abuse the AI generation systems
• Circumvent usage quotas or rate limits
• Send spam or unsolicited bulk communications through the outbound pitch system
• Impersonate others or misrepresent your identity
• Use the Service to compete directly with Ghost Agent

We reserve the right to suspend or terminate accounts that violate these terms.

7. Outbound Communications

The Service includes tools for sending pitch emails and fan communications. You are responsible for:

• Complying with CAN-SPAM, GDPR, and other applicable email regulations
• Only contacting individuals who have a reasonable expectation of receiving your communication
• Honoring unsubscribe requests promptly

8. Third-Party Integrations

The Service integrates with third-party platforms (Google, Stripe, Meta, TikTok, etc.). Your use of these integrations is subject to each platform's own terms. We are not responsible for third-party service availability or changes.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The Service is provided "as is" without warranties of any kind. We may perform maintenance, updates, or modifications that temporarily affect availability.

10. Limitation of Liability

To the maximum extent permitted by law:

• Ghost Agent is not liable for indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount you've paid us in the 12 months preceding the claim
• We are not responsible for lost bookings, missed opportunities, or revenue impacts resulting from service issues

11. Indemnification

You agree to indemnify Ghost Agent against claims arising from your use of the Service, your content, or your violation of these terms.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be revoked
• Your data will be retained for 30 days, then deleted
• You may request data export before termination takes effect

13. Changes to Terms

We may update these terms as the Service evolves. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes will be resolved in the courts of Los Angeles County, California.
